How much is it worth? I wanted to "modernize" it with brifters etc...but I think I may just sell it outright and get something already "built" the way I want it.

You probably don't want to "modernize" it. There is market for those modern Gios out there (by no stretch of the imagination is is a classic or vintage bike btw), but... I got to ask what does that Cerverlo you are riding lacks that you are looking for?
Valuation? $300-500 depending on the market and the season...

The Cervelo S1 is a great bike. It's almost perfect for me in every way except I hate the ride. Due to it's geometry the Gios rides and handles like the ultimate crit bike. I love it! But I hate downtube shifters.
Regarding its vintage I got this from another forum: "First of all, that Gios in the pic cannot be 1994, but more like 1989/90. I can tell this by the "Gios Compact KK" sticker on the down tube and here's the gist: the bike is made out of Oria KK tubes, the best and lightest tubeset Oria produced at that time. That particular model with that particular tubing and with that particular paint scheme was ridden by Roberto Visentini, a former Giro d'Italia winner (see pic below).
So if, besides fit and riding style, pedigree and tradition are also high on your list, then by all means Gios. And that particular Gios (Compact KK) doesn't pop up very often. I've seen one go on eBay for big bucks couple of months ago."

55cm and it had been repainted. They are still being made and the prices for new frames are high which helps. You have to use the buy-it-now format in this economy or your're most likely looking at much lower figures. I agree with you about the market.
