New to sport, need advice

Hello all.
I have a local shop that has a brand new 2001 (last year they were made) Specialized S-Works CX (it has a white & red frame with red aluminum fork) that I am interested in. It has Ultegra 9 speed STI shifters, XTR rear derailer, Avid brakes, Mavic Open Pro Wheels, etc, it is a very well equiped bike although the parts are all 2 year old models. The shop is asking $1400 is this a fair price or should I look for another bike? I plan on doing alot of winter training on the bike as well as at least 3 cyclocross races. It comes with Atac pedals which I have never used, are they worth a flip or should I change them, assuming I buy the bike of course.
I really appreciate your help.
