I think I'm going to sell my S2.
Last year I was lucky enough to have my 2006 Cervelo Soloist replaced with a brand new 2011 S2. The soloist was supposed to be bike that I didn't have to worry about, heh, oh well. I built it with Force, got a lot of good riding on it, and I like it - it's fast and stiff and light and aggressive.
I like it...but i LOVE my Felt...and lately the Cervelo has just been hanging in my apartment.
So I guess it makes sense to sell it before years pass and it's still the current model.
Would it make more sense to sell the frameset separately or as a complete bike?

Either way you're likely to lose a sizable chunk of money. It's a carbon frame and you get lifetime warranty that does not transfer to your buyer. I don't know the condition of your bike, but, generally speaking, you'll be lucky to get more than 1300 for a frameset that retails for 2000 new.

There is a 2009 S2 frame for sale on fleebay. Buy it now price = $1500. Claims that it has never been built up. What should I offer him?

The one you're referring to is 51 cm (that frame size may be a bit harder to move), and the seller is asking $40 for shipping.
On one hand, it is quite possible that it will go for 1450..1500 with shipping.
On the other hand, since it's out of warranty anyway, personally, I'm not sure if I'd pay 1500 for the privilege of being the first person to put miles on it, when I can get a slightly used frame for 1200.
I wonder how hard it is to get a new frame like that one below MSRP at an authorized dealer?

OP...you have a pretty nice build. I would try and sell it complete. If you put it up on Ebay...you should fetch a pretty decent price.
Parting a bike sucks...kinda like a car. Part here, part there. It could take weeks...and you'll end up wondering where the money for the parts went.

Turns out the S1 that I was looking at was the correct size. Call up the seller and we agreed on $900. Came to pick up the bike today. Umm, it's pretty much brand new. Just got it home so have not had a chance to adjust anything yet.

Hey, just a PSA, be careful with the seatpost collar on that.mine ended up with a crack in the seat tube.

What Felt do you have? I have to say I think Felt's make is a touch better than Cervelo from my experiences. (Cervelo isn't bad).
