I think the bike I bought recently would meet most of your requirements. It's the Schwinn Slicker from Nashbar. I got it shipped for $425. Nashbar seems to run about 20% off on Sundays, so check tomorrow and the price will likely be about $375 or so. I'm pretty happy with mine so far, but keep in mind that some assembly is required.
