thanks guys, that top bearing just doesn't seat itself deep and tends to rock a little which makes me think you might be right on angles and/or diameter might not be correct. Heck, I'm not even sure I got what I ordered. I ordered a FSA Orbit C-40 CX which supposedly has dimenisons of:

The Full Speed Ahead Internal/Integrated CX Headset is the perfect for the new tapered frame standard, with a 1-1/8" upper diameter and 1-1/2" lower diameter.
23 mm stack height
45/45 degree angular contact bearings in the top portion
36/45 degree angular contact bearings in the bottom portion
44mm OD Internal Upper Cup
52mm OD Integrated Lower Bearing
Hanger integrated into top cap

but the box has on it No. 9M / cup / CC-CX /42 headset, NO . 9M / cc-cx / 42

Thanks for all your responses.
