I don't have a signed dated piece of paper in my hand that says this is the case. But that would be the only true "proof", and you aren't going to find that period. Just the same, I am confident that this is the case.

Their frames are Merida (on their website and elsewhere) for Al frames, don't know about the carbon frames, and their Titanium frames are by Ora Engineering of Taiwan. Merida and Ora are both known for producing quality products. It would make Zero sense to open another factory just to produce bikes for Bikes Direct. Plus if either produced inferior frames for BD, it would hurt their business reputation and eventually sales. It makes far far more business sense to keep your skilled and trained people busy producing frames at maximum capacity, than having to open a new factory for one customer, or outsource to yet another builder. So while not a bike industry insider, I do work in a business that has to keep production capacity and balancing as a critical component in profitability.

Lastly, my Motobecane Mountain Bike has a frame virtually identical to Cannondale Trail series. The only difference I have found is some of the cable routing. When I bought the Moto, I was looking strongly at the Cannondale Trail until I realized they were really the same bike, apparently similar weight, even the same wielding pattern. But the Moto did have slight component improvements, and was 2/3's the price.

Combined with no quality issues, In sum, it all adds up to the same factories with the same people.
