The rear wheel spacing on the old bike will probably be narrower. If it's steel it'll be no problem to reset the stays to the right width for more modern 135mm spacing. You're sure to have a 1-1/8" steerer on your fork and bikes from the early 90s mostly didn't.

I'm thinking it's time for a new bike. Even '06 is pretty dated, especially the fork.

What's wrong about the Giant? Sloping top tubes or pretty much considered normal now, even on road bikes.
