Some neoprene overboots are waterproof, some are not. Look for sealed seams as an indication. I've never had any measurable amount of water get into my old MEC waterproof ones either from the top (rain pants over) or the bottom through the cleat hole. They were seriously waterproof enough that my socks were dry enough to wear at work after 45 minutes commuting in the rain.
