threaded to threadless is:
- new headset
- new fork
- new stem
and you can make those as cheap or as expensive as you want. The procedure is not that hard.

Improvement? Not that much but for the looks it's like a boobjob: looks a much younger
and discbrakes is no problem if your new fork supports it but your rear bridge of the frame doesn't support it so you end up with one v-brake and one disc brake
