as long as you dont want HD that setup is fine.
Make sure the graphics card has tv out (at least s-video)
I would probably buy a new case and hunt around for some silent fans
apparently these nexus fans are the best
and a near silent psu
quiet pc stuff from pc case gear is a good place to start.
nothing worse than watching tv and hearing your computer
