New in box 2011 Time NXR Instinct frameset for $2,800 - what's the catch?
One of the larger online dealers has this frameset in my size for just $2,800. They claim to be an authorized dealer, and say the frameset is new, in the Time box, and is not a refurb, return, etc. Other online dealers are selling for around $4K. This seems to good to be true. Any thoughts?

Inventory clearout? Maybe they're not going to be a Time dealer any longer?
If it's CC, I'd trust them. Just be clear with them about who would provide warranty service if needed.
I gotta add, Time bikes are truly special. Mine's been amazing, and it's not even the top of their line. I've always been puzzled by their lack of presence in the pro and amateur biking community.

Why is that fishy? Sometimes product simply needs to be moved. I payed $2600 for a brand new, sealed in the box Look 595 frameset. MSRP was $4k.

Sounds like the shop is trying to make room for new inventory. I got my Look 585 Optimum frame (MSRP ~$3000) for $1300 from Excel Sports. It was a 2010, and it was a 61cm frame, so it might've been hard to move and they wanted to get rid of it. I'm not complaining.
No problem registering it on Look's website, either.
